By accessing or using the CERTIE platform, including the Innovative Demand Client Portal (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. The Service is operated by Certie Inc., a Delaware corporation ("CERTIE," "we," "us," or "our").
CERTIE provides a client portal for managing service orders, payments, and account credits across CERTIE's business lines, including but not limited to business consulting, event services, and compliance services. CERTIE reserves the right to modify, suspend, or discontinue any part of the Service at any time without liability to you.
You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized use.
Fees for services are disclosed at the time of purchase or as outlined in your service agreement. Payments are processed by Stripe, Inc. CERTIE does not store your full payment card details. All fees are non-refundable except as expressly stated in a separate written agreement or as required by law.
CERTIE Credits have no cash value and cannot be redeemed, exchanged, or refunded for cash under any circumstances. Credits may only be applied toward eligible CERTIE services as determined by CERTIE in its sole discretion. Credits are non-transferable except through CERTIE's official referral program, where applicable. CERTIE reserves the right to modify, expire, or discontinue the credits program, or any individual credit balance, at any time, including in cases of suspected fraud or abuse.
Specific cancellation and refund terms for service packages (e.g. Biz Demo, Biz Starter, Biz Standard, custom, and event services) are governed by the payment plan presented to you at the time of purchase, including any non-refundable deposit or milestone terms.
All content, branding, software, and materials provided through the Service are the property of CERTIE or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our prior written consent.
You agree not to misuse the Service, including but not limited to: attempting unauthorized access, interfering with the Service's operation, submitting fraudulent payment information, or using the Service for any unlawful purpose.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CERTIE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CERTIE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. CERTIE'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO CERTIE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless CERTIE, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
CERTIE may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to the exclusive jurisdiction of such courts.
CERTIE may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
